If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

To access certain features of our Services, you may need to create an account. When registering for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Create a strong password and keep it confidential
• Immediately notify us of any unauthorized use of your account or any other breach of security
• Ensure that you log out from your account at the end of each session
• Accept responsibility for all activities that occur under your account

We reserve the right to disable any user account if we believe you have violated any provisions of these Terms.

5. Services Description

SureSuccess offers a range of educational services designed to help users prepare for professional examinations, including but not limited to:

• Practice questions and mock exams
• Study materials and modules
• Performance analytics and progress tracking
• Spaced repetition system for optimized learning
• Mobile and desktop access to study materials

SureSuccess provides exam preparation materials based on publicly available information about various professional examinations. We acknowledge all trademarks, registered trademarks, and intellectual property rights of their respective owners.

Free and Premium Content

Our Services include both free and premium content. Free content is available to all registered users, while premium content requires a subscription or one-time payment. The availability of specific features may change from time to time at our discretion.

6. Subscription and Payment

SureSuccess offers various subscription plans and payment options. By subscribing to a premium plan, you agree to the following terms:

• You authorize us to charge the applicable fees to your designated payment method
• All fees are exclusive of applicable taxes unless stated otherwise
• Subscription fees are non-refundable except as expressly set forth in our Refund Policy
• We reserve the right to change our fees or subscription plans with prior notice
• One-time payments provide lifetime access to the specified content as it exists at the time of purchase, subject to the terms of service

Subscription Renewal and Cancellation

For recurring subscription plans:

• Subscriptions automatically renew at the end of each billing period unless cancelled
• You may cancel your subscription at any time through your account settings
• Cancellation will take effect at the end of your current billing period
• No refunds will be issued for partial subscription periods

7. Refund Policy

We offer refunds under the following circumstances:

• For subscription plans: within 14 days of initial purchase if you have not accessed premium content
• For one-time payments: within 14 days of purchase if you have not accessed more than 10% of the premium content
• In cases of duplicate charges or technical errors with our payment system

To request a refund, please contact our support team with your account details and reason for the refund request. All refund requests are reviewed on a case-by-case basis and processed at our discretion.

We do not provide refunds for:

• Services that have been substantially consumed
• Requests made after the 14-day period has expired
• Cancellations of recurring subscriptions after the billing date
• Claims that the service did not meet expectations or did not help you pass your exam

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by SureSuccess, our licensors, or other content providers and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use.

You agree not to:

• Copy, modify, or create derivative works based on our Services or content
• Download, display, or transmit any content except as expressly permitted by our Services
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Remove any copyright, trademark, or other proprietary notices
• Use our content or materials for commercial purposes without prior written consent
• Transfer, sublicense, or assign your rights under these Terms

9. User Content

Our Services may allow you to submit, upload, or share content such as comments, feedback, or other materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You represent and warrant that:

• You own or have the necessary rights and permissions to use and authorize us to use your User Content
• Your User Content does not violate the rights of any third party, including intellectual property rights or privacy rights
• Your User Content complies with these Terms and all applicable laws and regulations

We reserve the right to review, remove, or modify User Content at our sole discretion.

10. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

We reserve the right to terminate your access to the Services for violation of any prohibited activities.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that:

• The quality of any products, services, information, or other material purchased or obtained through the Services will meet your expectations
• Any errors in the Services will be corrected

Any material downloaded or otherwise obtained through the use of the Services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SURESUCCESS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

These limitations of liability apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

13. Indemnification

You agree to indemnify, defend, and hold harmless SureSuccess, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another
• Your violation of any applicable laws, rules, or regulations

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

14. Term and Termination

These Terms are effective until terminated by either you or us. You may terminate these Terms at any time by discontinuing use of the Services and closing your account.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Engaging in prohibited activities
• Upon request by law enforcement or other government agencies
• Unexpected technical issues or problems
• Extended periods of inactivity

Any claim must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
